1. Governing Law under the Indian Contract Act 1872
Thisagreement, and any dispute, claim, or controversy arising out of or in connection with its subject matter, formation, or your use of the TechnWaves platform, shall be governed by, construed, and enforced in strict accordance with the laws of the Republic of India. Specifically, this contract is framed under the foundational principles of the Indian Contract Act, 1872, recognizing the validity of electronic contracts as stipulated under the Information Technology Act, 2000.
By utilizing our services, you expressly agree that any legal action or proceeding relating to this agreement shall be instituted exclusively in the competent courts located within the jurisdiction of Gujarat, India. You hereby irrevocably consent to the exclusive personal jurisdiction and venue of such courts, waiving any objections to such jurisdiction or venue based on forum non conveniens or any other legal doctrine.
This jurisdictional exclusivity ensures a predictable and stable legal framework for both TechnWaves and our users, mitigating the complexities and uncertainties of cross-border litigation. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded from these Terms and Conditions.
2. Limitation of Liability
To the maximum extent permitted by applicable Indian law, TechnWaves, its founders, developers, editors, affiliates, and licensors shall not be held liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages whatsoever. Thislimitation of liability encompasses, but is not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, business interruption, or the cost of procurement of substitute goods or services.
Our guides are provided on an "as is" and "as available" basis without any warranties of any kind, whether express or implied. We categorically disclaim any warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. You acknowledge that reliance on any generated document, tax estimate, or business calculation is solely at your own professional risk.
In no event shall the total aggregate liability of TechnWaves to you for all damages, losses, and causes of action (whether in contract, tort, including negligence, or otherwise) exceed the amount paid by you, if any, for accessing this platform. Given that the platform is currently provided free of charge, our maximum liability shall theoretically and practically be limited to zero Rupees (₹0), reinforcing the absolute necessity for independent professional review of all outputs.
This radical limitation shields the platform from frivolous litigation and ensures the continued provision of free utilities. It applies even if TechnWaves has been advised of the possibility of such damages, and regardless of whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis.
3. Rigorous Indemnification Clause
You hereby agree to deeply and comprehensively indemnify, defend, and hold harmless TechnWaves, its parent entities, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees. This indemnification obligation applies to any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms and Conditions or the documents they incorporate by reference.
Additionally, this indemnification extends to your violation of any law or the rights of a third party, your misuse of the platform's guides, or your generation and dissemination of inaccurate, misleading, or fraudulent documents using our utilities. You agree to fully cooperate with us in the defense of any such claim, and we reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.
This shield is designed to protect the platform from the downstream consequences of user actions. By shifting the business and legal burden of user misconduct entirely onto the offending user, TechnWaves secures its operational integrity and business viability against bad actors and negligent usage patterns.
4. Prohibited Uses and Platform Integrity
The integrity of the TechnWaves platform is paramount. You are expressly prohibited from using the site or its guides for any unlawful, fraudulent, or malicious purpose. Specifically, you must not utilize our invoice or receipt guides to create fictitious, forged, or fraudulent business documents intended to deceive tax authorities, auditors, clients, or business institutions.
Additionally, we enforce a strict zero-tolerance policy against scraping, data mining, automated harvesting, or the deployment of bots, spiders, or other automated devices to access, extract, or index our content, source code, or calculation logic. Any attempt to reverse engineer, decompile, disassemble, or bypass the security mechanisms of our browser-based processing architecture constitutes a severe breach of these terms.
You are prohibited from using the platform to generate content that is defamatory, obscene, offensive, or that infringes upon the intellectual property rights of others. TechnWaves reserves the right to immediately terminate access, block IP addresses, and pursue severe legal action against any user found engaging in these prohibited activities, including reporting such conduct to the appropriate law enforcement and cybercrime authorities in India.
5. Final Provisions and Severability
In the event that any provision of these Terms and Conditions is determined to be unlawful, void, or unenforceable by a court of competent jurisdiction, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law. The unenforceable portion shall be deemed to be severed from these Terms and Conditions, and such determination shall not affect the validity and enforceability of any other remaining provisions.
The failure of us to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. These Terms and Conditions and any policies or operating rules posted by us on this site constitute the entire agreement and understanding between you and us, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written.
